Consulting:	$90 per hour

TLC for Kids, Inc. Confidentiality Agreement

The undersigned, their officers, agents and employees (the "undersigned") mutually agree not to disclose or sell to others any secret or confidential information, knowlege or data, which may be obtained from  the other during the course of our conversations, meetings, correspondence or any future relationship relating to respective business methods, processes, formulae, and/or marketing techniques. The undersigned recognizes that  the knowledge or data, which is intended to be maintaned as a secret or confidential as long as possible, and the undersigned agree not to disclose to others or use any such secret or confidential information, knowledge or data unless and until and then to the extent that such information, knowledge or data becomes public otherwise than by the act or omission of the undersigned. The undersigned will take appropiate steps to safeguard the confidentiality of such information.

The undersigned understands that the use of the materials is for one location only. All other locations must pay for additional manuals.

Upon receipt of the TLC for Kids, Inc. operating procedures and paperwork, the undersigned agrees not to do business, including nanny placements or temporary services, in or within 100 miles of St. Louis, Missouri or Miami, Florida.

The undersigned further agrees that TLC is in no way responsible for any damages resulting from the use of the TLC Operations Manual.  It is understood that the information obtained through TLC is only to be used as a guide for ideas when setting up a child care business.  All procedures should be reviewed by your own attorney.

It is agreed by both parties that signature by facsimile (fax) is acceptable.
